If you access the Services from outside the United States, you do so at your own risk and are solely responsible for compliance with applicable local laws.

EXCEPT FOR CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF OR CLAIMS REGARDING INTELLECTUAL PROPERTY RIGHTS, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, rather than in court, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA), which rules are incorporated herein by reference.

The arbitration shall be conducted in English and shall take place in the United States. The arbitrator shall have authority to award any remedy or relief that a court of competent jurisdiction could order, except that the arbitrator shall not have the authority to award punitive damages unless expressly authorized by statute. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND DIONS EACH WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. All disputes shall be resolved on an individual basis. This waiver is an essential part of this arbitration agreement, and if it is found to be unenforceable, the entire arbitration provision shall be null and void.

12.4 Time Limitation

Any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations to the contrary.

13. Term and Termination

21. Force Majeure

Dions shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, government actions or restrictions, labor disputes, power outages, internet or telecommunications failures, fire, flood, or other similar events ("Force Majeure Events"). In the event of a Force Majeure Event, we will make reasonable efforts to resume performance of our obligations as soon as practicable.
